The board of management and the supervisory board of the Biotest AG herewith declare that the company will comply with all recommendations contained in the German Corporate Governance Code as amended on 2 June 2005.

Since its last declaration of compliance dated 18 March 2005, which referred to the German Corporate Governance Code as amended on 21 May 2003, Biotest AG has complied with all recommendations contained in the German Corporate Governance Code then in force.
